Terms of Use

Last updated: June 4, 2026

Welcome to the Togo web platform. These Terms of Use govern the rights and obligations between the Togo platform and its Partners when accessing, registering for and using the web platform www.togo.ba.

01

Introduction and definitions

These General Terms of Use of the web platform (the “Terms”) govern the rights and obligations of business entities and their authorized representatives (the “Partner”) and the Togo web platform (the “Togo”, “we”) when accessing, registering for and using the web platform www.togo.ba (the “platform”).

Definitions

For the purposes of these Terms:

  • The “Service Provider” or “Togo” means the legal entity that operates the web platform www.togo.ba.
  • The “Platform” means the Togo digital platform through which the publication, presentation and promotion of hospitality venues, events, offers, menus, listings and related content is carried out.
  • The “Partner” means a hospitality venue, event organizer or other legal or natural person that uses the Platform to publish and promote its services, content and offers.
  • The “End user” means a person who accesses the Platform to view content, obtain information, make a reservation, register for an event, respond to a listing or otherwise communicate with the Partner.
  • The “Partner services” means hospitality, accommodation, event, promotional, staffing or other services that the Partner offers to End users through the Platform.

Acceptance of the terms

By accessing and/or using the Togo platform, the Partner confirms that they have read, understood and accepted these terms, as well as the Togo Privacy Policy. These terms are legally binding between Togo and the Partner of the platform. If the Partner does not agree with the terms, they must immediately stop using the platform.

Changes to the terms

Togo reserves the right to amend or supplement these terms from time to time, in order to comply with laws, due to changes in the business model or for other justified reasons. The date of the last update is always stated in the header of this document. Users will be notified in a timely manner of any significant changes via the platform, with a clearly highlighted notice on their next visit. By continuing to use the platform, the Partner accepts the amended terms.

The Partner has the right, within 3 days of the date of publication, to submit a statement of disagreement to the email address: hello@togo.ba. If the Partner does not submit a statement of disagreement within the prescribed period or continues to use the platform after that period expires, they will be deemed to have agreed to the amended terms, which will apply to all further use of the platform.

Nature of the service

Togo provides the service of digital publication, presentation and technical availability of the Partner’s content via the Platform. Togo is not a provider of hospitality, accommodation, tourism, event, staffing or other services that the Partner offers to End users; it solely enables the digital presentation of the Partner and the connection of End users with the Partner.

The Platform may enable the display of a Partner profile, digital menus, events, daily offers, promotional activities, job listings, photos, reservation or contact functionality, interest analytics and other related features, depending on the selected service package.

Togo enables, among other things: browsing and promotion of hospitality venues, digital menus, the publication and promotion of events, reservations, daily offers and promotional activities, the publication of job listings, analytics and statistics of user interest, promotional boosts and marketing campaigns, and the display of photos, content and other promotional materials.

The parties agree that access to the platform may be provided in the form of various subscription packages (Basic, Gold, Premium), whereby the scope of functionality depends on the selected service package.

The Service Provider performs the initial activation and entry of the Partner’s data onto the platform, while access credentials are activated after the agreed fee payment has been recorded, after which the Partner is responsible for independently maintaining the accuracy and timeliness of the data in accordance with the platform’s functionality.

The right to use the platform has the character of a limited, non-transferable and non-exclusive right of use in accordance with these terms.

02

Access to the platform

The platform provides a simple and unified system for the registration and identification of Partners through user accounts.

Limited access

A visitor to the site may access the basic, informational and publicly available functionality of the platform in accordance with the rules on limited access. This access is provided free of charge and without an obligation for Partners to create a user account.

Registration of a user account is required only for Partners who wish to use the advanced functionality of the platform, manage their profile, content, reservations, events, offers and other available services.

Togo may offer registered business users with limited access certain service packages or subscription packages, in accordance with the applicable price list and business model of the platform.

Full access

To use the full functionality, advanced services and data of the platform (“Full access”), the Partner acquires the right to full access solely by activating an appropriate subscription package, in accordance with the applicable price list and business model of the Togo platform. Full access is activated and made available to the Partner after the Service Provider approves and enables the use of the selected service package.

The Partner acquires the right to full access solely within a valid and active subscription package and it lasts for the period for which the package was agreed (the “subscription period”), whereby the subscription period is automatically extended for the same period unless the Partner submits a cancellation request in accordance with the applicable rules of the Togo platform.

User account and access credentials

The Partner becomes the sole holder of their user account on the platform and is solely responsible for all activities on the platform carried out through their access credentials.

The password assigned to the Partner is confidential information and must not be shared with third parties. The password may be used only by the Partner’s authorized person. In the case of a legal entity or organization with several employees, the Partner’s administrator is responsible for managing accounts, including creation, deactivation, assignment of access rights and updating of user data.

The Partner is responsible for the security and protection of their access credentials and must take all reasonable measures to prevent unauthorized access to the platform and use of the platform contrary to these terms.

Togo is not liable for any damage or loss of data arising from inadequate safekeeping of access credentials by the Partner or from unauthorized use of the platform resulting from such conduct. If misuse of access credentials or of the platform is suspected, Togo reserves the right to temporarily suspend or restrict the Partner’s access to the platform.

Platform compatibility

The Togo platform functions optimally in the Chrome, Edge and Mozilla Firefox browsers, thanks to the technologies it uses. We recommend using the latest browser versions for smooth operation and proper display of content.

Effects of accessing the platform

By first accessing and continuing to use the platform through a registered user account, the Partner confirms that they are familiar with the applicable terms and fully accept them. These terms become an integral part of the contractual relationship between the Partner and the Togo platform.

03

Use of the platform

Permitted use

The Partner may use the Platform solely for the purposes of presenting, promoting and managing its own hospitality venue, events, offers, listings and other content, in accordance with the agreed service package, applicable regulations and these Terms.

All platform data and functionality may be used solely through the Partner’s officially assigned user account.

Any use of the platform, its data or analytics for the purpose of sale, resale, assignment, public disclosure or redistribution to third parties, whether for a fee or free of charge, without the prior express written consent of the Service Provider (TOGO), is expressly prohibited.

The Partner has no right, directly or indirectly, to use any data or content of the platform to build, improve or enrich its own databases, services or products offered to third parties.

Strictly prohibited activities

The Partner is expressly prohibited from acting contrary to the law, the contract and these terms, and in particular from:

  • Sharing, assigning, selling or enabling access to its user account to third parties, including passwords or multiple simultaneous use of the account.
  • Providing false, inaccurate or misleading information during registration or communication with the TOGO platform.
  • Automatically, en masse or systematically downloading, copying, collecting, indexing or processing data and content from the Platform, including by using bots, scripts, crawlers, scraper tools or other automated technical means, without Togo’s prior written consent.
  • Attempting to bypass, undermine or disable the security and technical protections of the platform, including hacking and brute force attacks.
  • Modifying, decompiling, reverse engineering or otherwise altering the software or databases of the platform.
  • Accessing, copying, deleting or using the data of other partners or of the Service Provider without authorization.
  • Interfering with the operation, security or performance of the platform, including introducing viruses, malware or spam.
  • Using the platform for spam, phishing, fraudulent activities or social engineering.
  • Using the platform for illegal, offensive, discriminatory or violent activities or content.
  • Any unauthorized downloading, redistribution or public disclosure of platform content.
  • Using a VPN, proxy or other identity-hiding tools to abuse the platform.
  • Collecting personal data from the platform for purposes not permitted by law or these terms.

Suspension and monitoring for suspicious activity

If TOGO identifies or reasonably suspects any suspicious, unauthorized, abusive or illegal activity, including hacking attempts, mass data downloading or non-compliance with these terms, TOGO may contact the Partner to clarify and verify the activity.

If the circumstances so require, TOGO reserves the right to temporarily suspend or restrict access to the user account without prior warning until the verification is completed. During the verification, TOGO may request additional information, and the Partner is obliged to cooperate and provide the necessary explanations.

After the verification, TOGO may:

  • restore access,
  • permanently disable access,
  • terminate the contract,
  • or report the case to the competent authorities.

Any breach may lead to immediate suspension, permanent revocation of access and termination of the contract without the right to a refund.

Partner’s right to change the subscription package

During the contractual relationship, the Partner has the right to upgrade its subscription package or change the duration of the subscription period. The change is made by contacting the TOGO platform and agreeing on a new package, in accordance with the applicable price list. The new terms apply from the moment the change is confirmed.

TOGO’s right to change functionality and offering

TOGO reserves the right to change, improve or discontinue individual features, modules, APIs or content of the platform, for the purpose of developing and improving the service, with the option of notifying partners where reasonably possible.

Responsibility for published content

The Partner warrants that it holds all necessary rights, consents and authorizations to publish the content it submits or publishes via the Platform, including photos, logos, menus, prices, texts, promotional materials, employment data, events and other content.

The Partner undertakes not to publish content that infringes the rights of third parties, including copyright, trademark rights, the right to privacy, personality rights, consumer rights or personal data protection regulations.

Temporary unavailability of the platform due to maintenance

TOGO may temporarily restrict or disable access to the platform for maintenance, upgrades, security interventions or technical improvements. These activities may result in temporary unavailability without prior notice.

The Partner accepts that this is a normal part of the operation of digital platforms and is not entitled to compensation, a refund or a reduction of the fee due to such interruptions.

Complaints mechanism and technical support

The Partner has the right to submit a complaint regarding the operation of the platform or the service via the official email address or other official support channels. Technical support is available via:

04

Fees, prices and payment

TOGO offers service packages whose use is subject to payment of a fee. The fees for using the Platform are determined according to the applicable price list and the selected service package, available at hello@togo.ba. Togo issues invoices electronically to the Partner’s registered email address or by other agreed electronic means.

The Partner is obliged to settle the invoice within the period stated on the invoice. In the event of late payment, Togo has the right to temporarily restrict or disable access to the Platform until all due obligations are fully settled, without any obligation to compensate damage, refund or extend the subscription period.

Temporary suspension or deactivation of the account due to a breach of these Terms, non-payment or abuse of the Platform does not entitle the Partner to a refund of paid fees, a price reduction or compensation.

All invoices for the services used are issued automatically by electronic means and delivered to the Partner’s registered email address or in another agreed manner. The Partner is obliged to duly settle all due obligations within the periods stated on the invoices.

If the Partner wishes to object to the amount and content of an invoice delivered to it, the objection must be submitted within the period stated on the invoice, counting from the date of delivery of the invoice.

TOGO reserves the right to change the prices of its services and packages at any time. Partners will be notified of any price change in a timely manner in one or more of the following ways:

  • by publishing the new price on the platform;
  • by sending a notice to the Partner’s registered email addresses, wherever reasonably possible.

Use of the paid service packages and services of the TOGO platform requires the timely settlement of all due monetary obligations by the Partner, within the periods stated on the issued invoices. If the Partner does not settle the due obligations within the prescribed period, TOGO reserves the right to, without prior warning, temporarily restrict or completely disable access to the platform and all related services until the debt is settled.

05

Partner and end-user relationship

The Partner is solely and fully responsible for the accuracy, legality, timeliness and completeness of all data, prices, offers, menus, events, photos, listings, reservation slots and other content it publishes or submits for publication on the Platform.

The Partner assumes full responsibility towards End users for the provision of its services, including the quality of products and services, the availability of capacity, the cancellation or modification of reservations and events, the accuracy of prices and offers, the conduct of employees, safety on the premises, complaints, refunds, objections and all other matters arising from the Partner’s business.

If an End user submits any request, objection, complaint or claim to the Togo platform relating to the Partner’s services, Togo has the right to forward such a request to the Partner as the sole responsible party, and the Partner undertakes to take it over and resolve it without delay.

06

Intellectual property

All content available on the TOGO platform, including but not limited to texts, databases, analyses, data, charts, images, trademarks, logos, multimedia materials, design, software code and functionality, is protected by copyright and related rights, as well as intellectual property rights, for the benefit of the TOGO platform or its contractual partners, in accordance with the applicable laws of the Federation of Bosnia and Herzegovina and international treaties.

The Partner is permitted to use such content solely for the Partner’s personal or internal business needs in hospitality and related activities, within the scope and in the manner prescribed by these terms. Any reproduction, copying, downloading, distribution, public display, alteration, modification, commercial exploitation or any other form of use of the protected content of the TOGO platform beyond the permitted scope, without the prior express written consent of the Service Provider (TOGO), is strictly prohibited.

Content that the Partner independently submits or publishes via the Platform remains the property of the Partner or of the persons from whom the Partner obtained the appropriate rights. By providing content to the Togo platform, the Partner grants Togo a non-exclusive, time-limited right to use, process, technically adapt, publish and display such content solely for the purpose of providing services via the Platform and promoting the Partner in accordance with the selected service package.

Upon termination of the contractual relationship, Togo has the right to remove or deactivate the Partner’s content, except to the extent that its retention is necessary for legal obligations, the protection of rights or the demonstration of services rendered.

If the Partner acts contrary to the obligations under this section, TOGO has the right, at its own discretion and depending on the severity of the breach, to take one or more of the following measures:

  • temporarily or permanently disable, restrict or suspend the user account and access to the platform without prior warning;
  • demand, or seek through the courts, the immediate removal, return or deletion of all unlawfully copied or used data, materials or content;
  • claim compensation for any direct and/or indirect material and non-material damage arising from the infringement of rights;
  • initiate appropriate legal proceedings before the competent court or other body, including civil, misdemeanor and criminal proceedings against the Partner;
  • notify the competent authorities, as well as third parties whose rights have been infringed.

Taking any of these measures does not exclude the TOGO platform’s right to full judicial and extrajudicial protection of its rights, including taking all other measures permitted by applicable laws and contracts.

If the Partner considers that its copyright, related or other intellectual property right has been infringed by the use of TOGO platform content, it is obliged to notify TOGO immediately, and TOGO will consider every such report and, if it establishes that it is well-founded, take appropriate measures without delay, including the removal of the disputed content.

Any infringement of copyright, related and other intellectual property rights entails civil, misdemeanor and/or criminal liability, as well as the right of the TOGO platform to initiate all appropriate legal remedies to protect its rights and interests.

07

Disclaimer of liability

Togo strives to ensure a high level of reliability, accuracy and availability of the platform, as well as a quality display of all services and functionality. Nevertheless, the Partner accepts the following limitations and conditions:

Nature of information and limitations

The information available on the Platform is of an informational and promotional nature and is based primarily on data provided by Partners or third parties. Togo does not guarantee that all data, offers, prices, time slots, photos, events, listings or other content are accurate, complete and up to date at all times. The Partner is solely responsible for the content it publishes or submits for publication, as well as for all services it provides to End users.

Use of external partners

To provide certain functionality, process or display data, the platform may use software components, services, databases, sources or information of third parties. Although Togo strives to use reliable and verified partners, it cannot be held responsible for the accuracy, timeliness or quality of data, services or any interruptions and changes arising from the actions of third parties.

Links to third-party services

The platform may contain links to third-party websites and/or services. These external sites are not under the control of the Togo platform, so Togo is not responsible for their content, including any links found on those sites, nor for any changes or updates on them. These links are provided solely as a convenience to the Partner, and the inclusion of any link does not constitute an endorsement or approval of those websites.

When accessing third-party external pages or services, their own terms of use and privacy policies apply, which may differ from the Togo terms. Togo is not responsible for the privacy policies, data collection or practices of those platforms, nor for any damage or consequences that may arise from their use.

Responsibility for third-party data

Togo may use and/or obtain data from official and publicly available sources, including registers, statistical agencies and other relevant institutions and databases. Nevertheless, Togo does not guarantee the accuracy, completeness or timeliness of data originating from third parties. The Partner is solely responsible for all decisions made on the basis of the information available on the platform.

Limitation of liability

Togo is not liable for any direct, indirect, incidental or consequential damage, including loss of data, profit, business opportunities or reputation, that may arise from the use of or inability to use the platform, including technical errors, operational interruptions or inaccurate data.

Warranties

Togo makes no express or implied warranties as to the functionality of the platform, its availability, security, accuracy or the suitability of the content for a particular purpose. No information or recommendation on the platform constitutes a warranty or the assumption of additional liability beyond what is expressly defined by these terms.

Availability and currency of the service

Access to the platform may be temporarily restricted or unavailable due to maintenance, upgrades or technical reasons, as well as for reasons beyond the platform’s control. No prior notice is required for such temporary interruptions.

Partner’s own responsibility

The Partner uses the platform solely at its own responsibility and must independently assess the relevance of the information before making business or other decisions. Consultation with professionals is recommended where necessary.

Cooperation and resolution of disagreements

In the event of questions, ambiguities or complaints, Togo strives, through communication with the Partner, to provide clarifications and support, and to resolve any disagreements in a constructive manner.

08

Monitoring and security

In order to preserve the functionality, security and protection of the system, Togo has the right to periodically carry out monitoring and analytics of the use of the platform, including records of access, actions and other relevant logs, all in accordance with the Privacy Policy and applicable legislation, while respecting legitimate interests and the confidentiality of user data.

The Partner must not publish content that is illegal, misleading, discriminatory, offensive, sexually explicit, violent, aimed at the use of narcotics or other prohibited substances.

09

Termination and data handling

The Partner has the right to access and use the platform in accordance with these terms during the subscription period. The subscription period lasts as long as agreed, and upon its expiry it is automatically extended for the same period, unless the partner notifies the Togo platform of the discontinuation of the subscription renewal.

Togo has the right, in accordance with its business policy, these terms, regulatory requirements, security reasons or other justified circumstances (including non-payment or late payments, and non-compliance with the terms of use), to temporarily or permanently discontinue certain services, functionality or access to the platform.

After expiry, termination of the contract or deactivation of the user account, Togo will retain the partner’s data only for as long as necessary to fulfil legal and contractual obligations, protect its own rights and interests or resolve any complaints, in accordance with applicable laws and the Privacy Policy.

Togo reserves the right, without prior notice, to remove, restrict the display of or temporarily deactivate any Partner content that it reasonably considers to be illegal, inaccurate, misleading, offensive, technically harmful, contrary to these Terms or capable of causing liability for the Togo platform or third parties.

10

Change of ownership or legal successor

In the event of a change of ownership, a status change, a merger, an acquisition, a division, a transfer of business, a transfer of the Platform or other corporate reorganizations of Togo, these Terms and all contractual relationships with Partners are deemed automatically transferred to the legal successor or other legal entity that takes over the Platform, the business or the relevant part of the business, without the need to conclude an annex, a new contract or to obtain separate consent from the Partner.

The new legal entity assumes all rights and obligations of Togo to the same extent and under the same conditions. Togo will notify Partners of the transfer of rights and obligations via the platform or available communication channels.

11

Severability

If any provision of these terms of use is declared illegal, invalid or unenforceable by a competent court, such provision is deemed severed from these terms of use. The remaining provisions remain in full force and effect, while each invalid or unenforceable provision will be interpreted in a manner that best corresponds to the purpose of these terms of use.

12

Force majeure

Togo is not liable for the non-performance or delay in the performance of obligations if such non-performance is the result of circumstances beyond Togo’s reasonable control, including internet outages, infrastructure failures, cyber attacks, decisions of the competent authorities, interruptions in the operation of third-party providers, force majeure or other unforeseeable technical and organizational circumstances.

13

Governing law and disputes

These Terms and the use of the Platform are governed by the applicable regulations of Bosnia and Herzegovina and the Federation of Bosnia and Herzegovina, to the extent applicable. In the event of a dispute, the parties will strive to resolve the dispute amicably. If an amicable resolution is not possible, the court with subject-matter jurisdiction in Sarajevo has jurisdiction to resolve the dispute.

In the event of a discrepancy between these Terms, an individual contract, an offer, a purchase order or a price list, the following order of precedence applies: the individual contract, the accepted offer or purchase order, the applicable price list, these Terms, unless expressly agreed otherwise.
